Draft — counsel to review. This text is being reviewed by counsel in Uganda and Kenya and may change before Wellth's money features go live.

1. About these terms
These terms are between you and Tall Grass Group (“Tall Grass”, “we”), which runs Wellth. By signing in you accept them. Our privacy policy explains how we use your data. Questions: dev@tallgrasshq.com.
2. What Wellth is, and isn't
Wellth is software for savings and investment circles: members, roles, elections, secret ballots, ledgers, loans with two keys, fines, goals, cycle close and share-out. It also connects you to payment services: contributions in, loans and payouts out, school fees, paying from abroad, and cards.
- Wellth is not a bank and does not hold your money. Money is held and moved by licensed partners: mobile-money networks, banks and payment companies, under their own terms, which also apply to you.
- Each money feature switches on in a country only once its licensed partner, licence or legal opinion is in place. Our licensing status page shows what is live.
- Wellth does not give investment, legal or tax advice. Meg, the in-app assistant, explains how Wellth and your circle's rules work; it can make mistakes, and your screens and ledgers are the record.
3. Your account
- You sign in with your own phone number and the code we text to it. Keep your phone and codes to yourself; don't share a code with anyone, including someone who says they are from Wellth.
- Where identity checks are on, you must verify your identity before you join a circle, vote, hold office, turn a key or move money. The information you give must be true and your own.
- Tell us at once at dev@tallgrasshq.com if you think someone else has used your account.
4. Your circle and its rules
- Each circle adopts its own constitution in the app, within its country's rules (in Uganda, the UMRA self-help group guidelines). Wellth enforces the settings the circle chose; the circle is responsible for them and for registering with its local authority.
- Every outflow needs two keys from two different officers. Every member of a circle is told of every movement in it, and members can see each other's contributions and loan sizes, as in a group meeting.
- Votes are secret where the constitution says so. Decisions made by the circle's votes and officers are the circle's decisions, not ours.
- A circle has at most 30 members, and a mother group at most 100 (Uganda).
5. Fees
- Every fee is shown as its own line before you confirm, never folded into an amount. Paying from abroad also shows our rate beside the market rate.
- Prices marked as placeholders may change before a feature goes live. You will always see the price before you pay.
- Receiving money from abroad is free for circles, schools and members.
6. Payments
- A payment counts only when the network or partner confirms it. A payment that is refused or abandoned writes nothing to any ledger.
- Check the number, amount and recipient before you confirm. Once a partner has paid out, we may not be able to reverse it.
- A quote for a payment from abroad holds for 30 minutes and can be used once.
- We or our partners may refuse or hold a payment to comply with the law, including anti-money-laundering checks, and may ask where money comes from.
7. Wellth cards
- Cards are prepaid and issued by our partner bank under its terms. You can only spend what is on the card, within its limits.
- A Scholar card pays only schools and school suppliers.
- Freeze a card in the app at any time. If a physical card is lost or stolen, block it in the app at once; a stolen card is also frozen. You are responsible for payments made before you block it, to the extent the bank's terms and the law allow.
8. Fair use
Don't use Wellth for anything unlawful, to deceive other members, or to get around its rules or checks. We may suspend an account that does, and we will tell you why unless the law prevents it.
9. Our responsibility
We take care to run Wellth well and to keep its records accurate. We are not responsible for the decisions a circle makes, for a partner's service, or for losses we could not reasonably have prevented. Nothing in these terms limits rights you have under the consumer protection law of your country.
10. Complaints
Tell us first, at dev@tallgrasshq.com or through Help & support in the app where it is on. See complaints for how we handle them and where you can escalate.
11. Law and changes
These terms are governed by the law of Uganda, unless the law of the country where you live gives you the right to rely on its own law or courts. We will post changes here and tell you in the app before they take effect.
